These Website Terms of Use ("Terms") govern access to and use of threepointstrading.com (the "Site"), which is operated by Three Points Trading, Co., doing business as Crystal Dairy Distributing ("Three Points Trading," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Business-to-Business Site

The Site and linked ordering services are intended for businesses and their authorized representatives. They are not offered for personal, family, or household purchasing.

2. Informational Site and Ordering Portal

The Site provides information about our business and links to a third-party business-to-business ordering portal operated through Orderspace. Ordering, customer-account, and related functions take place on that third-party platform rather than directly on the Site.

Orders submitted through the ordering portal are subject to availability, customer-specific arrangements, delivery schedules, pricing, invoice terms, credit arrangements, and other agreements between Three Points Trading and the applicable business customer. Submitting an order does not override those arrangements or guarantee acceptance, availability, price, or a particular delivery time.

3. Authorized Use and Account Security

You may use the Site and linked ordering portal only for lawful business purposes and only if you are authorized to act for the applicable business customer.

If you receive account credentials for a linked service, you are responsible for maintaining their confidentiality, restricting access to authorized personnel, and promptly notifying us or the applicable platform provider of suspected unauthorized use. You are responsible for orders and instructions submitted through your authorized account to the extent permitted by applicable law and your agreements with us.

4. Prohibited Conduct

You may not:

- use the Site or linked services unlawfully or fraudulently;

- interfere with their operation or security;

- attempt to obtain unauthorized access to an account, system, or data;

- introduce malicious code or conduct automated scraping that burdens the Site;

- impersonate another person or business;

- submit false or misleading information; or

- use our names, trademarks, content, or systems in a manner that infringes rights or suggests an unauthorized affiliation.

5. Third-Party Services and Links

The Site may link to services operated by third parties, including Orderspace. We do not control third-party services, and their availability, security, content, and handling of information may be governed by their own terms and privacy policies. A link does not imply that we control or guarantee the third-party service.

6. Intellectual Property

The Site and its content, including text, graphics, logos, photographs, layout, and other materials, are owned by Three Points Trading or used with permission and are protected by applicable intellectual-property laws. You may view and use the Site for your internal business dealings with us. No other license is granted unless we agree in writing.

Third-party names and marks belong to their respective owners.

7. Site Availability and Changes

We may update, suspend, restrict, or discontinue all or part of the Site at any time. We do not promise that the Site or any linked service will always be available, uninterrupted, secure, or error-free.

8. Disclaimers

To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available." We disclaim implied warranties relating to the Site, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

Product sales, deliveries, invoices, and related commercial matters may be governed by separate customer-specific agreements and applicable law. Nothing in these Terms changes an express written agreement between Three Points Trading and a customer.

9. Limitation of Liability

To the fullest extent permitted by law, Three Points Trading and its owners, officers, employees, and agents will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising from or relating to the Site or a linked third-party service, including lost profits, lost data, business interruption, or loss of goodwill.

To the fullest extent permitted by law, our aggregate liability arising from the Site itself will not exceed one hundred dollars ($100). This limitation does not apply where liability cannot lawfully be limited and does not alter liability established by a separate written commercial agreement.

10. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Three Points Trading and its owners, officers, employees, and agents from third-party claims, losses, liabilities, and reasonable expenses arising from your unlawful misuse of the Site, violation of these Terms, or infringement of another party's rights.

12. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Unless applicable law or a separate written agreement requires otherwise, disputes arising specifically from these Terms or the Site will be brought in the state or federal courts located in Sacramento County, California, and the parties consent to their jurisdiction and venue.

13. Changes to These Terms

We may update these Terms by posting a revised version and changing the effective date. Your continued use of the Site after an update constitutes acceptance of the revised Terms to the extent permitted by law.

14. General

If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our written consent. These Terms, together with the referenced policies and any applicable written commercial agreement, constitute the agreement concerning use of the Site.
